Two Waters Capital sponsors private real estate investment funds. A private placement is the sale of unregistered securities to a limited number of qualified investors. Interests in private real estate funds are typically considered alternative investments.
Private placements are generally highly illiquid. There is no public market for fund interests, transfers are restricted, and investors should expect to hold their investment for a multi-year period. Private funds are not subject to the public disclosure obligations that apply to registered securities. Investors should consult professional advisers, perform thorough due diligence, and deliberate carefully before investing.
Investing in private placements requires high risk tolerance, the ability to accept limited liquidity, and a long-term commitment. Investors must be able to afford to lose their entire investment. For these reasons, our offerings are available only to accredited investors as defined in Rule 501(a) of Regulation D. Under the current definition, these include:
This summary is not complete, and the definition may change. The applicable fund's offering documents control. Because our offerings rely on Rule 506(c), we are required to take reasonable steps to verify each investor's accredited status before accepting a subscription.
To help the government fight the funding of terrorism and money laundering activities, federal law may require Two Waters Capital to obtain your name, date of birth, address, and a government-issued identification number before accepting your investment. If you are investing on behalf of an entity, we may be required to obtain your name and title and the entity's address and government-issued identification number, and to verify this information for any person authorized to act for the entity.
Two Waters Capital may decline or delay a subscription if this information cannot be verified, and is not responsible for any losses or damages, including lost opportunities, resulting from any failure to provide it.
Two Waters Capital and its affiliates receive fees and may receive a share of profits from the funds we sponsor, and an affiliated property management company may be engaged to manage fund properties for a fee. We may also sponsor multiple funds at the same time and must allocate investment opportunities among them. These arrangements can create conflicts between our interests and those of our investors. Material conflicts of interest, and how we address them, are described in each fund's offering documents.
